- ACORD: An Expert-Annotated Retrieval Dataset for Legal Contract Drafting Information retrieval, specifically contract clause retrieval, is foundational to contract drafting because lawyers rarely draft contracts from scratch; instead, they locate and revise the most relevant precedent. We introduce the Atticus Clause Retrieval Dataset (ACORD), the first retrieval benchmark for contract drafting fully annotated by experts. ACORD focuses on complex contract clauses such as Limitation of Liability, Indemnification, Change of Control, and Most Favored Nation. It includes 114 queries and over 126,000 query-clause pairs, each ranked on a scale from 1 to 5 stars. The task is to find the most relevant precedent clauses to a query. The bi-encoder retriever paired with pointwise LLMs re-rankers shows promising results. However, substantial improvements are still needed to effectively manage the complex legal work typically undertaken by lawyers. 4 Fine-Tuning LLaMA for Multi-Stage Text Retrieval The effectiveness of multi-stage text retrieval has been solidly demonstrated since before the era of pre-trained language models. However, most existing studies utilize models that predate recent advances in large language models (LLMs). This study seeks to explore potential improvements that state-of-the-art LLMs can bring. We conduct a comprehensive study, fine-tuning the latest LLaMA model both as a dense retriever (RepLLaMA) and as a pointwise reranker (RankLLaMA) for both passage retrieval and document retrieval using the MS MARCO datasets. Our findings demonstrate that the effectiveness of large language models indeed surpasses that of smaller models. Additionally, since LLMs can inherently handle longer contexts, they can represent entire documents holistically, obviating the need for traditional segmenting and pooling strategies. Furthermore, evaluations on BEIR demonstrate that our RepLLaMA-RankLLaMA pipeline exhibits strong zero-shot effectiveness. 6 Don't "Overthink" Passage Reranking: Is Reasoning Truly Necessary? With the growing success of reasoning models across complex natural language tasks, researchers in the Information Retrieval (IR) community have begun exploring how similar reasoning capabilities can be integrated into passage rerankers built on Large Language Models (LLMs). These methods typically employ an LLM to produce an explicit, step-by-step reasoning process before arriving at a final relevance prediction. But, does reasoning actually improve reranking accuracy? In this paper, we dive deeper into this question, studying the impact of the reasoning process by comparing reasoning-based pointwise rerankers (ReasonRR) to standard, non-reasoning pointwise rerankers (StandardRR) under identical training conditions, and observe that StandardRR generally outperforms ReasonRR. Building on this observation, we then study the importance of reasoning to ReasonRR by disabling its reasoning process (ReasonRR-NoReason), and find that ReasonRR-NoReason is surprisingly more effective than ReasonRR. Examining the cause of this result, our findings reveal that reasoning-based rerankers are limited by the LLM's reasoning process, which pushes it toward polarized relevance scores and thus fails to consider the partial relevance of passages, a key factor for the accuracy of pointwise rerankers. 4 authors · May 22, 2025 2
